1. Parties to the Agreement

1.1. This Membership Agreement (hereinafter referred to as "Agreement") is a contract between Tekvita Yazılım Bilgisayar Danışmanlık Reklam Organizasyon Turizm Sanayi ve Ticaret Ltd. Şti. (hereinafter referred to as "Planports") and the "User" who becomes a member of the site and uses the services offered at www.planports.com. The Agreement will become effective upon electronic acceptance by the User and will remain in force unless terminated by the parties in accordance with the procedures outlined in the Agreement.


2. Subject and Scope of the Agreement

2.1. This Agreement covers the use of the cloud-based Pre-accounting and CRM Platform ("Platform") accessed through Planports by the User, and the determination of the confidentiality and security of the data ("Data") uploaded to the Platform by the User, the terms and conditions related to the content, and the rights and obligations of the parties. The terms, rules, and conditions of use provided to Users by Planports are also an annex and an integral part of this Agreement and constitute the rights and obligations outlined in the Agreement.

2.2. If the Platform is used on behalf of an account opened for a company, the user who opens the account is considered the "System Administrator" and is deemed to have accepted this Agreement on behalf of the company and declared that they have the authority to do so.


3. User's Rights and Responsibilities

3.1. The User must be at least 18 years old to become a member of the Platform. By becoming a member of the Platform, the User accepts and declares that they are over 18 years old and have the legal capacity required to enter into this Agreement.

3.2. The User declares and accepts the accuracy of the User and company information used when registering for the Platform. The User is responsible for the accuracy and up-to-dateness of the name, surname, email, company name, company invoice information, and other subscription information used when registering for the Platform. The User declares and undertakes that they will compensate Planports for any damages resulting from the inaccuracy of this information immediately and in full.

3.3. If the User uses the Platform on behalf of a company, they have the authority to define users according to the number of users in the account plan. In this case, the accuracy of the data related to these persons is the responsibility of the User.

3.4. Access to the Platform by the User is provided using the email address and password determined by the User. The confidentiality and security of this password are the responsibility of the User, and any activity performed on the Platform using the relevant email address entry is deemed to have been performed by the User. The User is responsible for all legal and criminal liabilities arising from these activities.

3.5. The User accepts and declares that the email address will be used for any issues and communication, and that it is the User's responsibility to regularly check the email address for notifications from the Site.

3.6. The username and password can only be used by the relevant User. Sharing the username and password with others is prohibited. If the User detects unauthorized use of their password by others or any other security breach, they must immediately inform Planports and change their password through a secure browser.

3.7. The User is responsible for ensuring that the Data held on the Platform and the activities they carry out comply with the tax laws, commercial laws, and other applicable laws and regulations of the country in which the company operates, as well as with international law. The use of the Platform for illegal purposes is prohibited, and such violations are the responsibility of the User.

3.8. The User is responsible for ensuring that the files uploaded to the Platform do not contain viruses, bugs, trojans, or other malicious software.

3.9. The User is responsible for backing up the Data uploaded to the Platform.

3.10. The User is obliged not to use the Platform for illegal purposes, to not neglect security measures, to not upload data to the system using unauthorized middleware by Planports, to not use the Platform for unauthorized submissions, and to not host illegal content.

3.11. The User cannot transfer their User account and the rights and obligations arising from the use of the Platform under this Agreement to any third party in any way.


4. Rights and Responsibilities of Planports

4.1. Planports is obliged to comply with all protocols and procedures and take the necessary measures to prevent the loss of Data on the Platform, but cannot guarantee that Data loss will not occur. Planports is not responsible for any Data loss on the Platform, regardless of how it occurs.

4.2. Planports is obliged not to access, view, or share the Data entered by the User on the Platform without the User's permission. However, if the User's information and data on the Platform are requested by a court order by authorized authorities, Planports is obliged to share this information and data with the authorized authorities.

4.3. Planports may revise this Agreement without any prior notice. Upon the publication of the revision, the User is deemed to have accepted the revised agreement upon their first access to the Platform. If the User does not accept these changes, they have the right to terminate this Agreement as outlined below.

4.4. If the User acts in violation of this Agreement and the other terms and conditions on the Site, as well as the declarations and commitments within this scope, the Company will have the right to suspend the User's membership or terminate the Agreement as outlined below, thereby terminating the User's status. In such a case, the Company's right to claim damages arising from this violation from the User is reserved.

4.5. Planports aims to make the use of the Platform accessible and usable 24/7 but does not guarantee that it will be uninterrupted and error-free. Planports does not guarantee the operational status of the systems that provide access to the Platform. The User accepts that access to the Platform may be blocked or interrupted if necessary. Planports is not responsible for such blockages or interruptions in any way.

4.6. Planports reserves the right to store content in its databases as long as the agreement is in effect.


5. Payment, Refund, Changes, and Freezing of Membership

5.1. A valid credit card is required for a paid Planports subscription. Payment is collected before the start of each service period and is non-refundable. When you switch to a paid Planports subscription, your free trial automatically ends, and your paid subscription begins. Planports sends the invoice for the usage fee to the contact address specified by the User after the payment is made.

5.2. Planports offers Users a free 14-day trial of the Platform. After 14 days, if the User does not switch to a paid subscription, the User's account is frozen. Planports reserves the right to make changes to the free membership period if desired.

5.3. When your User account is frozen, your information is retained for 6 (six) months from the date of freezing. If you decide to use your account again within this period, you can access your information after making the subscription payment. If you do not use your account again within this period, all your information will be permanently deleted at the end of this period.

5.4. Planports may close your company's account or block access to all or part of it, with or without prior notice, if it believes it has encountered malicious use that would jeopardize the security of the software or put Planports in a difficult situation. This situation may result in the forfeiture of all rights to the Data in your account. Planports reserves the right not to provide services to any User for any reason.

5.5. Planports may change the services offered or may not continue any or all of the services offered, whether temporary or permanent, with or without notice. Planports cannot be held responsible for this change or interruption.

5.6. Planports will charge the User who wants to renew their subscription based on the new pricing after announcing changes in pricing and payment terms on the www.planports.com website and in the Account section within the Platform.

5.7. The User accepts in advance that Planports has the right to refuse membership or delete the membership if necessary, even if they meet the conditions.


6. Term of the Agreement

6.1. The Agreement will become effective upon electronic acceptance by the User and will remain in force for the duration of the User's membership unless terminated by the parties in accordance with the procedures outlined in the Agreement.

6.2. The invalidity, illegality, or unenforceability of any provision of the Agreement or any expression contained in the Agreement will not affect the validity and enforceability of the remaining provisions of the Agreement.

6.3. Termination of the Agreement will not eliminate the rights and obligations of the parties that have accrued up to the termination date.


7. Copyright

7.1. Ownership of the Platform belongs to Planports. The rights and authorities granted to the User for the use of the Application do not in any way mean the transfer of ownership of the Platform to the User.

7.2. It is strictly forbidden for the User to attempt to access the source codes of the Platform, to try to modify, corrupt, or copy the codes.

7.3. The User cannot use the name, trade name, or logo of Planports without the permission of Planports.

7.4. Planports cannot use the User's name as a reference on its website unless the "System Administrator" allows it.


8. Limitation of Liability

8.1. The User accepts and declares that links to other websites, portals, files, or content not under the control of the Company may be provided on the Site, and that such links do not constitute a declaration or guarantee of support for the website or the person operating it, or for the information contained in the website or its contents. The Company is not responsible for the portals, websites, files, and content accessed through these links, the services or products offered, or their content.

8.2. The User accepts that the Application offered on the Site and access to the Application are largely dependent on the quality of the service provided by the relevant Internet Service Provider, and that the Company has no responsibility for issues arising from the quality of this service.


9. Privacy Policy

This article defines the data privacy principles regarding the access, use, and updating of data provided by the user.

9.1. When you become a member of Planports, access protocols are configured to ensure that only you and authorized persons can access your information by implementing privacy and security measures without error.

9.2. The use of the data provided by users is limited to the provision of the service and the continuity of technical support. This information may be used to improve service quality and to develop and enhance Planports.

9.3. Planports only stores the user's email address, name, surname, title, phone number, and company information provided during user registration. During payment, the user's credit card information is not recorded without the user's permission.

9.4. The User may provide information such as name, surname, and email to invite different persons. The information entered is only used for its intended purpose.

9.5. Planports may send informational emails to its users. The User may remove themselves from the email list. Please follow the unsubscribe links for this action.

9.6. Cookies are used to keep user settings and perform some analysis. If the user does not want cookies to run on their computer, they can be blocked from the browser settings. In this case, Planports can still be used, but the user may encounter some limitations.

9.7. Cookies may also be used to display ads on other sites. These cookies may be placed on the Planports website to receive advertising services from third-party companies.

9.8. The security of user information is important to us. When the user enters payment information, credit card information, and similar data, we encrypt and transmit this information using an SSL certificate. The security measures we use are intended to prevent the loss, theft, and damage of user information. However, by its nature, the security of information transmitted over the internet can never be guaranteed 100%. Therefore, Planports does not provide a 100% security guarantee. 9.9. Planports integrates with Google Drive. Authorization information, such as the email password used for integration, is not stored by Planports. It is only used by Google for authorization purposes.


10. Dispute Resolution

10.1. In disputes arising from this Agreement, Antalya Courts and Enforcement Offices are authorized.
